Terms of Service
1. The Service
These terms apply between you and [[COMPANY NAME]] ("Sanctum", "we", "us") when you use sanctum.cash and the Sanctum wallet at app.sanctum.cash (the "Service"). The Service lets you hold USDC on the Base network, top it up by card, Apple Pay or Google Pay through a payment partner, and send it to other addresses without needing a gas token. By using the Service you accept these terms and our Privacy Policy. If you do not agree, do not use the Service.
The Service is for people who are at least 18 years old and legally able to enter into a contract. It is not available where its use would be unlawful or where we or our partners restrict it. We do not provide financial, investment, tax or legal advice.
2. Your account
You sign in with your email address and a one-time code we send you. You are responsible for your email account and for everything done after sign-in. Tell us promptly at [[CONTACT EMAIL]] if you suspect unauthorised access. Anyone who controls your email inbox can access your Sanctum account.
3. Your wallet
When you first sign in, we create a wallet on Base for your account. The wallet is managed by us: we generate and hold its private key (stored encrypted) and sign transfers on your behalf when you instruct us. The USDC belongs to you, but you reach it through your Sanctum account. You do not receive the private key or a seed phrase. If you want to hold funds under your own keys, send them to a wallet you control yourself.
Only send USDC on the Base network to your Sanctum address. Tokens sent on other networks, or other tokens, may be lost and we cannot recover them.
4. Buying USDC
Top-ups are processed by our payment partner Wert (wert.io), which provides the checkout and any required identity checks. Their terms and privacy policy apply to that part of the transaction. We are not a party to the payment between you and your card issuer. The USDC amount, rate and fees are shown in the checkout before you pay. A top-up is credited once the payment partner reports it as completed; this can take a few minutes, and an order may be declined or cancelled by the payment partner or your bank.
5. Sending USDC
You can send USDC from your wallet to any valid address on Base. You are responsible for entering the correct address and amount. Blockchain transfers are final and cannot be reversed. We cannot cancel, recall or refund a transfer once it is submitted, including if you sent it to a wrong address or to a scammer. We may delay or refuse a transfer where required by law, for security reasons or if we suspect misuse.
6. Fees and limits
We cover the network fee for transfers from your wallet. Fees charged by the payment partner or your bank for top-ups are shown at checkout. We may introduce or change our own fees in future with notice in the Service. To protect the Service we apply limits, which at the time of writing include a maximum wallet balance of 1,000 USDC, a minimum top-up amount and a daily cap on the number of transfers. Limits can change and may differ per account.
7. Acceptable use
You agree not to use the Service for anything unlawful, including fraud, money laundering, terrorist financing, sanctions evasion or buying or selling prohibited goods or services; not to use a payment method that is not yours; not to attempt to break, overload or circumvent the Service or its limits; and not to interfere with other users. We may report suspected unlawful activity to the authorities.
8. Risks
Digital assets involve risk. USDC is issued by a third party and its value and redemption depend on that issuer. Blockchain networks can be congested, change or fail, and smart contracts can contain errors. We do not control the Base network or the USDC token and are not responsible for losses caused by them. Do not store more than you are comfortable holding in a managed wallet.
9. Availability, suspension and termination
We aim to keep the Service available but do not guarantee uninterrupted access. We may change, suspend or limit the Service, or restrict or close an account, for example where required by law, where we suspect misuse or where you breach these terms. If we close your account, we will, where lawful and possible, allow you to withdraw your USDC to an address you name. You can stop using the Service at any time by sending your balance to another address.
10. Liability
We are liable without limit for intent, gross negligence, injury to life, body or health, and where the law does not allow a limitation. Otherwise, and to the extent the law allows, our liability is limited to foreseeable damage typical for this kind of service and we are not liable for indirect or consequential loss, lost profit, or loss caused by third parties, the payment partner, the blockchain or events outside our control. 11. Changes, governing law and contact
We may update these terms, for example when the Service or the law changes. We will announce material changes in the Service; continued use after the change takes effect means you accept them. If a provision is invalid, the rest stays in force. These terms are governed by [[GOVERNING LAW / JURISDICTION]], without affecting mandatory consumer protection rules of the country where you live.
